June 12, 2026 delivered one of the sharpest signals yet about the diverging paths in AI infrastructure. While SpaceX raised a record $75 billion in the largest IPO in history, the same afternoon the U.S. government ordered Anthropic to disable access to its most advanced models (Fable 5 and Mythos 5) for all foreign nationals.
One company took physical infrastructure public. The other discovered how quickly access to frontier capabilities can be restricted when a company does not control the underlying stack.

This article is not a buy case for SPCX. It is a structural read on what kind of AI infrastructure company can survive when governments decide to act.

First-Day Numbers

SpaceX opened at $150 a share, rose as high as $176.52 during trading, and closed at $161.11.

The stock opened at $150 on Friday — an 11% jump from its IPO price — and finished up nearly 20% for the day.

Listed on the Nasdaq under the ticker SPCX, it became one of the world's biggest listed companies on its first day on the market, valued above $2 trillion.

Retail enthusiasm was high — up to 30% of shares were allocated to individual investors — while institutional caution was equally present.
Although SpaceX has a high valuation, it lags other tech giants in terms of revenue and profitability: SpaceX booked $18.7 billion in revenue last year, and between the start of 2025 and March 31, 2026, it lost $8.7 billion. The Wedbush view was representative of bulls: "SpaceX going public is an important moment for the broader tech sector in our view as this AI Revolution and data takes this next step forward," Wedbush analyst Dan Ives wrote in a note to investors.

On-chain markets moved in parallel. Crypto perpetual futures on platforms including Hyperliquid recorded $322.5M in 24-hour volume and $293M+ in open interest — the SPCX-USDC contract on Hyperliquid traded near $172 by end of session, down from roughly $176 earlier in the day.

Beyond the Musk Narrative

The default approach to SpaceX coverage centres on founder-centric framing — Musk's vision, Musk's control, Musk's net worth. That framing obscures what is actually interesting about the business as a public investment.

Starlink dominates at 61% of total revenue. Space launches contribute 22%. The AI segment — X platform advertising, subscriptions, and xAI compute infrastructure, consolidated through the February 2026 xAI merger — adds 17%. The critical figure is Starlink's operating economics: Starlink delivered $4.4 billion in operating income in 2025, a 39% operating margin.

Starlink subscribers rose from 2.3M to 8.9M from 2023–25, then reached 10.3M in Q1 2026.

That subscriber growth is funding something structurally different from anything a pure-play AI company can replicate.
SpaceX is no longer operating solely as a launch provider or satellite operator. The filing outlines an attempt to build a vertically integrated AI infrastructure business spanning compute, software distribution, connectivity, data collection, and model development.

The valuation concerns are real and should not be dismissed.
At a $1.75 trillion valuation with roughly $25 billion expected 2026 revenue, SpaceX would trade at approximately 70x forward revenue (based on $1.75T IPO valuation; at first-day close of ~$2.1T the implied multiple rises to approximately 84x) — even for a high-growth tech company, this is an extreme multiple.

The physical layer is not just the product — it is also the reason the multiple is defensible to a class of investor that would never touch a pure-play AI company at similar valuations.

SpaceX will face significant challenges in delivering on its bold plan to develop space for commercial ventures, including ringing the earth with AI-powered satellites, and to justify its massive valuation. Founder control via a dual-class share structure — Musk currently holds approximately 42% of SpaceX's equity but commands 85.1% of voting power — concentrating both upside and execution risk in a single person.

What SpaceX is not is a software company with a launch business bolted on. The physical layer is the product. That distinction matters more now than it did before June 12.

xAI, Colossus, and Cursor

As part of the Cursor deal, Cursor will use SpaceX's Colossus supercomputer, built by xAI and acquired by SpaceX in a February 2026 all-stock merger that valued the combined company at about $1.25 trillion. Colossus delivers computing power equal to roughly one million Nvidia H100 chips.

On April 21, 2026, SpaceX announced an agreement that gives it the right to acquire Cursor for $60 billion later this year, or pay $10 billion for ongoing collaboration on AI coding and knowledge work. The deal's strategic logic cuts both ways.
Cursor currently depends on models from Anthropic and OpenAI — the very companies building competing developer tools — while access to Colossus creates a pathway for Cursor to develop a proprietary coding model and reduce that dependency.

Cursor had been bottlenecked by compute. With this partnership, the team will leverage xAI's Colossus infrastructure to dramatically scale up the intelligence of their models.

From launch systems and satellite networks to compute infrastructure and now AI model development through xAI, SpaceX is increasingly operating as a full-stack platform rather than a pure-play aerospace firm. The Cursor option — whether exercised at $10B or $60B — determines whether that full-stack position extends into the developer tooling layer that currently runs on SpaceX's competitors' models. These are meaningfully different outcomes for the AI market, not just for SpaceX's balance sheet.

The significance of that structural distinction became clear on the same day SpaceX went public.

The Anthropic Contrast

The Commerce Department issued a directive requiring Anthropic to suspend all access to Fable 5 and Mythos 5 for any foreign national — whether inside or outside the United States, including Anthropic's own foreign national employees. The company received the letter at 5:21pm ET on Friday and shut off both models for all customers to ensure compliance.

The stated basis was a jailbreak the government believed could unlock Mythos 5's cybersecurity capabilities — capabilities that Anthropic says have been used by US authorities and security teams to identify long-standing software vulnerabilities, but which authorities concluded could constitute a dangerous tool in the wrong hands. Anthropic's dispute with the directive is substantive: the exploit is narrow, applies to one specific instance rather than a universal bypass, and comparable capabilities already exist in other public models including OpenAI's GPT-5.5. The company warned that applying this standard across the industry would effectively halt all new frontier model deployments.

The regulatory risk here is the point — not the jailbreak itself. A software-only AI company's entire product can be switched off by a government letter, delivered at 5:21pm on a Friday. The capabilities of that product are gated by a compliance layer the company does not fully control.

SpaceX and xAI operate differently. When SpaceX routes data through Starlink, allocates Colossus capacity, or decides which satellites communicate with which ground stations, those decisions are made inside infrastructure it physically controls. That is not invulnerability — it is a structurally different relationship with government intervention than a pure model API provider has. The contrast is architectural, not political.

Anthropic filed confidentially for a public listing on June 1, targeting an October 2026 debut. Institutional investors reviewing that S-1 now have a live case study in what frontier model regulation looks like in practice.

The Lock-Up Structure

The largest planned IPO on record will not have the typical 180-day lockup for existing investors. SpaceX has built a tiered, rolling release schedule designed to meter — not block — sales by its longest-tenured shareholders.

After SpaceX reports its first quarterly results covering the April to June period, insiders become eligible to sell up to 20% of their locked-up shares. A further 10% unlocks if the stock is trading at least 30% above the offering price. Five time-based tranches at 70, 90, 105, 120, and 135 days each release a further 7% of eligible shares. A further 28% unlocks after the Q3 earnings report, with the full remainder coming off restriction at 180 days.

Elon Musk, who controls 85.1% of voting power, and unnamed "certain significant investors" have agreed to a 366-day lockup period, per the IPO filing. The largest single shareholder cannot sell until approximately June 2027.

The tiered structure also helps SpaceX quickly build the float necessary for Nasdaq 100 inclusion. The exchange's new fast-entry rules allow companies with market caps above the 40 largest existing members to join as soon as 15 days after listing.

Intropic, a London-based index rebalancing forecast provider, estimates that passive investors will hold approximately 30% of the free float within 15 trading days of listing. That passive demand wave against a constrained float creates a specific risk profile: when mechanical, price-insensitive demand meets a constrained supply, the price can move more sharply in both directions than the underlying business would justify.

The staggered lock-up is intelligently structured for near-term stability. It does not eliminate the supply overhang — it schedules it.

DeFi and RWA: SPCX Goes On-Chain

Tokenized SpaceX shares from Ondo Finance, Backed Finance, and Dinari emerged within hours of the listing, with tokenized representations of SPCX appearing on Solana, Base, and Ethereum on the same day as the Nasdaq debut.

DeFi composability unlocks use cases unavailable to traditional equity: Solana DEXs and lending protocols can integrate SPCX as a tradable asset, and the token opens the door for use as collateral in on-chain credit markets. Forward Watchlist

According to KPMG, global IPO activity raised $42.6 billion across 251 transactions in the first quarter of 2026 — a 45% year-on-year increase in proceeds.

Based on an assumed 5% free float applied to the mid-point of reported valuation estimates, the combined fundraising from SpaceX, OpenAI, and Anthropic would approach $200 billion — exceeding total US IPO proceeds from listings with market capitalisations above $50 million between 2022 and Q1 2026 combined.

Five items form the specific forward watchlist for SPCX and the broader 2026 AI infrastructure cycle:

1. SPCX at Day 70 / Q2 earnings (~August 2026). The first 20% of eligible insider shares unlock after Q2 2026 earnings, approximately August. This is the first real test of whether the staggered structure holds under selling pressure. Q2 earnings will also be the first public look at the post-IPO financials and the xAI segment's burn rate.

2. Cursor acquisition decision — $10B vs $60B. SpaceX will decide by the end of the year whether to buy Cursor for $60 billion or pay $10 billion to work together. A $60B acquisition makes SpaceX the largest developer tooling platform in the world and accelerates the migration of Cursor's training compute away from Anthropic and OpenAI. A $10B collaboration leaves the dependency intact.

3. Anthropic IPO — October 2026 target. Anthropic is targeting a public listing as soon as October. The question the Fable 5 / Mythos 5 shutdown raises directly: does this regulatory intervention materially affect institutional appetite for a pure-play frontier model company? Underwriters and institutional investors are now pricing a category of risk that did not have a live precedent three weeks ago.

4. OpenAI public listing timeline. OpenAI might join the IPO wave in Q4 2026, but investors have reason to doubt the timeline — the company reportedly missed its own revenue targets and has yet to formally file. How the market absorbs SPCX over the next 90 days will shape the conditions under which OpenAI decides to move.

5. Orbital AI compute timeline. SpaceX's S-1 states that AI compute satellites in sun-synchronous orbit will handle energy-intensive AI workloads at far greater scale and efficiency than terrestrial alternatives, with Starlink providing low-latency, global connectivity — and that the company expects to begin deploying orbital AI compute satellites as early as 2028.

Regulatory approvals, orbital debris mitigation, spectrum coordination, and international licensing requirements are all identified as significant operational risks. The gap between the ambition and the risk register is wide. If Starship achieves the launch cadence the ambition requires, the orbital AI thesis becomes defensible at current multiples. If it does not, the valuation rests almost entirely on Starlink's subscriber growth.

June 12, 2026 was not just a record IPO. It was the day the market got its first explicit signal that AI infrastructure and AI model companies face structurally different regulatory environments — and that owning the physical layer may increasingly determine which companies can operate at the frontier without asking permission.
